However, the Secretary of Stale owns all but one of the shares in the Company and so has the normal powers of such a shareholder. 2 URENCO is a United Kingdom/Netherlands/German consortium in which BNFL holds a one-third share, and is not, therefore, shown in column A. 3 The Secretaries of State for Energy and for Scotland have no formal responsibility for the acquisition or disposal of shares by the Electricity Supply Industry in England and Wales and the Scottish Electricity Boards, respectively, beyond satisfying themselves that it accords with the industry's statutory functions. 4 FASTEC owns no shares and the Secretary of State for Energy has no statutory powers in relation to the Company. 5 The National Nuclear Corporation is a private limited company. Details of its subsidiairies are given in the Company's Annual Report and Accounts, which are available for public scrutiny at the Companies' Registry. 6 Under a direction made under Section 3 of the Atomic Energy Act 1954, the UKAEA shall not, without the prior written consent of the Secretary of State for Energy, acquire or dispose of any share or interest in any company or partnership. There is no requirement to involve any other Department. 7 The Articles of Association of UK NIREX Ltd. provide for the Secretary of State for Energy to be able to appoint two independent Members to the Board and to be entitled to attend meetings of the Board, but not to vote. The Articles also provide that the consent of the Secretary of State is required before the Company can dispose of any site.
